3. PURCHASE PROCESS AND ORDER ACCEPTANCE
Orbitron Engineering offers its products primarily through a quotation-based purchasing process designed to ensure that each order accurately reflects the technical specifications, quantities, and requirements requested by the customer. Customers may initiate a purchase request by contacting Orbitron Engineering through the communication channels provided on the website or by submitting a request through the quotation form available on the product pages.
Following the initial inquiry, Orbitron Engineering may engage in preliminary communications with the customer in order to clarify technical details, confirm product specifications, discuss quantities, and address any questions related to the requested products. These communications are considered informational and do not constitute a binding offer until a formal quotation is issued.
Once the relevant information has been clarified, Orbitron Engineering will prepare a formal quotation based on the specifications, quantities, and conditions agreed upon with the customer. The quotation will outline the applicable pricing, expected manufacturing or supply timelines when available, and any other relevant commercial or technical conditions. The customer may accept or reject the quotation within the validity period indicated in the quotation.
An order shall be considered confirmed only after the customer has accepted the quotation and Orbitron Engineering has acknowledged receipt of the order. When applicable, Orbitron Engineering may provide confirmation from the manufacturer regarding the acceptance of the production order and the estimated manufacturing timeline. Such timelines are indicative and may be subject to change depending on production capacity, material availability, and other operational factors.
In cases where advance payment or partial payment is required, Orbitron Engineering reserves the right to delay the placement of the order with the manufacturer until the agreed payment has been received. Orbitron Engineering may also issue an invoice when the product leaves the manufacturer’s facilities or in accordance with the payment structure agreed in the quotation or order confirmation.
Invoices issued by Orbitron Engineering must be paid by the due date specified on the invoice. Failure to make payment by the indicated due date may result in the application of late payment interest as permitted by applicable law.
4. PAYMENT TERMS
All payments for products supplied by Orbitron Engineering shall be made through bank transfer unless otherwise agreed in writing. The payment deadline and any applicable payment schedule will be specified in the invoice issued to the customer.
Customers are responsible for ensuring that payments are completed within the timeframe specified in the invoice. In the event that payment is not received by the due date, Orbitron Engineering reserves the right to charge statutory late payment interest in accordance with the Swedish Interest Act. Such interest shall accrue at the applicable reference rate plus eight percent (8%) per annum, calculated from the due date until full payment has been received.
Orbitron Engineering also reserves the right to suspend ongoing orders, delay deliveries, or refrain from placing orders with manufacturers if payments required under the applicable quotation or invoice have not been received.
Ownership of the products supplied by Orbitron Engineering shall remain with the seller until the seller has received full payment for the products. Until such time as full payment has been received, the products shall remain the property of Orbitron Engineering, and the seller reserves the right to take any lawful measures necessary to recover the products in the event of non-payment.
5. PRICING AND PRICE ADJUSTMENTS
All prices provided by Orbitron Engineering are quoted exclusive of value-added tax (VAT) and any other applicable taxes, duties, or charges unless expressly stated otherwise. Prices are generally based on the order volumes specified in the quotation and may vary depending on the quantities ordered and the technical specifications of the products.
Orbitron Engineering reserves the right to renegotiate pricing if the agreed or quoted volumes are not achieved within the validity period of the quotation or during the applicable commercial period referenced in the quotation.
The seller also reserves the right to adjust prices if the costs associated with manufacturing, sourcing, or delivering the products change due to circumstances beyond the seller’s reasonable control. Such circumstances may include, but are not limited to, increases in raw material costs, shortages of required materials, disruptions in transportation or logistics networks, significant increases in fuel costs, or governmental restrictions or prohibitions arising from events such as pandemics, armed conflicts, or similar extraordinary situations.
Any price adjustment arising from such circumstances will be communicated to the customer with reasonable notice, and when applicable, at least thirty (30) days prior to the implementation of the new pricing conditions.
Where quotations are issued in connection with products or materials subject to currency exchange fluctuations, the applicable exchange rate will be specified in the quotation. If the relevant currency exchange rate varies by more than ±2% between the date of the order and the date of invoicing, Orbitron Engineering reserves the right to adjust the price to reflect eighty percent (80%) of the exchange rate difference. This adjustment mechanism is intended to partially account for currency volatility affecting the cost of the products.
